Terms of Service — Geaux Uptown Solutions

1. Acceptance

By accessing geauxuptownsolutions.com (the "Site") or communicating with our AI assistant or intake forms, you agree to these Terms of Service. If you do not agree, do not use the Site. Paid engagements are governed by a separate written services agreement, which controls in case of conflict.

2. Informational only — not professional advice

Content on this Site, including blog posts, the toolkit, checklists, case studies, and AI assistant responses, is provided for general informational purposes. It is not medical, legal, regulatory, compliance, financial, or clinical advice and does not create a consultant–client, attorney–client, or provider–patient relationship. Do not rely on it for decisions about patient care, regulatory compliance, or business strategy without engaging qualified professionals.

3. No Protected Health Information (PHI)

The public Site, including chat and intake forms, is not a HIPAA-covered communication channel and is not intended to receive PHI. Do not submit patient names, medical record numbers, diagnoses, treatment details, insurance identifiers, or other identifiers about individuals. If you need to share PHI in the course of an engagement, we will execute a Business Associate Agreement and use a secure channel before any PHI is exchanged.

4. AI assistant

Our website assistant uses third-party AI models. Output may be inaccurate, incomplete, or out of date and should be verified before reliance. Do not enter PHI, payment data, passwords, or other sensitive information. Conversations may be reviewed for quality and follow-up where you have given consent.

5. Acceptable use

You agree not to:

Use the Site to violate any law or third-party right.
Attempt to probe, scan, or compromise the security of the Site or its underlying infrastructure.
Scrape, harvest, or use automated tools to extract content except for standard search-engine crawling.
Submit false information through any form, or impersonate any person or organization.
Use AI assistant outputs to generate content that is unlawful, defamatory, harassing, or harmful.

6. Intellectual property

The Site, including text, graphics, code, logos, and downloadable toolkit materials, is owned by Geaux Uptown Solutions LLC or its licensors and is protected by U.S. and international copyright and trademark laws. You may view and download materials for your own internal business use; you may not republish, resell, or build derivative commercial products without our written permission.

The Site may link to third-party websites and services. We do not control and are not responsible for their content, policies, or practices.

8. Disclaimers

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEAUX UPTOWN SOLUTIONS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUES, OR DATA, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL AGGREGATE LIABILITY ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). LIABILITY UNDER A SIGNED SERVICES AGREEMENT IS GOVERNED BY THAT AGREEMENT.

10. Indemnification

You agree to defend and indemnify Geaux Uptown Solutions LLC against claims arising from your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

11. Governing law & venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute arising from these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction there.

12. Changes

We may update these Terms from time to time. Material changes will be posted here with a revised effective date. Continued use of the Site after changes constitutes acceptance.
